Terms of Service

These terms govern use of UpSchool Data ("UpSchool," the "Service"), operated by Lighthouse Resources LLC ("we," "us"). By using the Service, a school or other customer ("you," the "School") agrees to these terms.
The Service
UpSchool is a school-data platform that schools use for assessments, scheduling, and notifications to their staff and parents, including SMS text messaging. We provide the Service to schools; schools manage their own users and data.
School responsibilities
- You are responsible for the accuracy and lawfulness of the data you enter, including student, staff, and parent information.
- You are responsible for having the authority and any required consents to enter that data and to contact your staff and parents, including by SMS.
- You control access to your account and are responsible for activity under it. Keep credentials confidential.
- You will not use the Service to send unlawful, deceptive, or unsolicited marketing messages.
Your data
Schools own their data. We claim no ownership over the student, staff, or parent information you enter. You grant us the right to host and process that data solely to provide the Service to you. Our Privacy Policy describes how we handle it, including our FERPA commitments for student education records.
SMS text messaging program
UpSchool sends SMS text messages on behalf of schools to their staff and parents: scheduling updates, session reminders, appointment confirmations, and school notifications such as weather closures.
- Opt-in: contacts opt in by replying START to an initial text message asking whether they want to receive messages from their school. Only contacts who reply START receive further messages. See how opt-in works.
- Opt-out: reply STOP to any message at any time to stop all messages.
- Help: reply HELP for assistance, or contact us at simcha@upschooldata.com.
- Message frequency varies with school activity.
- Message and data rates may apply.
- Carriers are not liable for delayed or undelivered messages.
- Supported on major US carriers; availability depends on the recipient's mobile plan and carrier.
Acceptable use
You will not:
- Misuse the Service, interfere with its operation, or attempt to access data belonging to other schools.
- Use the Service in violation of applicable law, including student-privacy and messaging-consent laws.
- Resell or provide the Service to third parties outside your school without our written agreement.
Fees and changes
If your use of the Service is billed, fees and billing terms are set out in your agreement with us. We may update the Service and these terms from time to time; material changes to these terms will be posted at this address with an updated date and communicated to school customers.
Disclaimers and limits
The Service is provided "as is" and "as available." To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that SMS messages will be delivered; delivery depends on carriers and recipients' devices and plans.
To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for claims relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the claim.
Termination
Either party may end use of the Service as provided in your agreement. We may suspend access for misuse, unlawful use, or non-payment. On termination, we delete or de-identify school data as described in our Privacy Policy.
Governing law
These terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Disputes will be brought in the state or federal courts located in New York.
